Alta Vista Neighborhood Association By-laws

Article I
Name and Location: The Name of the Association shall be the Alta Vista Neighborhood
Association. The main office location Shall be fixed each year and shall be the
address of the Association President. The Association boundaries are the Rail Road
tracks at Tuttle Avenue to Bahia Vista Street on the east; Bahia Vista to US 41 on
the south, US 41 and Washington Blvd. (US 301) to Ringling Blvd. (US 301) to the
west, Ringling Blvd. to the Rail Road tracks on the north, and continuing south and
east on.the Rail Road tracks to Tuttle Avenue - in the City of Sarasota, FL.
Article 2
Purpose: The purpose of this Association shall be:
• Foster the improvement, revitalization and preservation of the neighborhood
and its character
• Represent the interests and the needs of all residents,
• Inform members about decision -making processes in the City and County that
affect the Alta Vista neighborhood,
• Encourage greater neighborhood involvement in influencing and working with
issues that affect the quality of life in the Alta Vista neighborhood and surrounding
areas.
Power of the Association: In furtherance of the purpose described above, the
Association shall have the power to make and execute contracts for the lawful
purpose, to collect dues and engage in various funding and fund-raising activities.
The Association is a non-profit organization. No part of the net earnings shall
inure to the benefit of any of its members, or for any purpose other than the direct
support of the Association. In the event the Association ceases operation, the
assets shall be distributed to another organization which qualifies under the
Internal Revenue Code as a non-pro fit organization.
Article 3
Membership: shall be open to all residents of Alta Vista and of adjacent
neighborhoods without an association. Each is a member with full voting rights,
Voting: Members, and joint resident members, attending a scheduled meeting shall be
entitled to one vote.
Quorum: Seven (7) members, of whom two (2) shall be officers on the Executive
Committee, who attend the properly notified meeting, shall constitute a voting
quorum.
Meetings: At least once each quarter, a general meeting shall be held with
all the membership, providing 3 or more signs are displayed for the preceding
duration of 5 days.
Article 4
Elections: A nominating committee shall be formed each January and a slate of
officers presented each February meeting with nominations accepted from the floor:
Elections shall be held at each March meeting.
Terms:. New officers shall assume their responsibilities effective upon election in
March. The term of office shall be one year.
Article 5
Officers: The officers of the Association shall consist of the President, Vice
President, Secretary and Treasurer
• President shall preside at all meetings, appoint officers in event of
resignation and committee appointments (including the nominating committee), and
perform all other duties usually pertaining to the office of President.
• Vice President shall fulfill the duties of president in the President's
absence, and will be the Membership Chair Person, keep the membership roll, maintain
membership information, report on membership as requested, and supervise the
preparation of information packages to members.
• Secretary shall keep a record of all meetings and provide copy to the
President in advance of meetings, shall keep a copy of the membership roll, shall
record all correspondence and committee reports, and shall send out notices in
advance of meetings.
• Treasurer shall, with co signature of one or another officer, be custodian
of all funds, shall keep a record of all funds of the association, including dues as
shall be fixed by the Executive Committee, and provide a treasurer's report at all
membership meetings. Expenses of the Association must be approved in advance by the
Executive Committee.
Article 6
Executive Committee: shall be composed of the President, Vice President, Secretary,
Treasurer and the Chair Persons of all committees. The immediate past president
shall serve as a member of the Executive Committee and as an advisor to the
President. Meetings of the Executive Committee shall be held as called by the
President or any officer.
Function: The Executive Committee shall represent the membership and act on their
behalf in matters and businesses that might arise between regularly scheduled
membership meetings. The Executive Committee shall report such action at the next
membership meeting.
Article 7
Rules of Order: Roberts Rules of Order shall be the parliamentary authority for all
matters of procedure not specifically covered within the By-laws
Article 8
Amendments: Offices and members may propose amendments, revisions, additions to,
repeal or recession of these By-laws, and/or adoption of new By-laws at any meeting
of the Association. Notice of the proposed alteration, amendment, revision, repeal
or recession of the By-laws, or adoption of new By-laws, shall have been given at
least thirty days preceding a membership meeting. The amendment becomes effective
upon approval by a majority vote of members present.
